These Terms and Conditions ("Terms") govern your access to and use of AushadiPro, including its website, web application, mobile application, APIs, software and related services (collectively, the "Services").
By registering for, accessing or using AushadiPro, you agree to these Terms.
If you do not agree with these Terms, you must not use the Services.
1. AushadiPro Services
AushadiPro is pharmacy-management software that may provide functionality including:
- Online billing
- Offline billing
- Inventory management
- Purchase management
- Purchase orders
- Expiry management
- Customer management
- Staff management
- Multi-pharmacy management
- Reports and analytics
- Loyalty programs
- Customer communications
- WhatsApp billing and messaging
- Payment-related functionality
- Subscription management
- Mobile functionality
- Other pharmacy-management features introduced from time to time
The features available to you depend on your subscription plan, configuration and the version of the Services you use.
2. AushadiPro Is Not a Medical Service
AushadiPro is a software platform.
AushadiPro does not:
- Diagnose diseases;
- Prescribe medicines;
- Dispense medicines;
- Replace a doctor or registered pharmacist;
- Provide medical treatment; or
- Guarantee the suitability of a medicine for a particular person.
Any medicine information displayed by the Services is provided for informational or operational purposes and must be independently verified before being relied upon.
Pharmacies and their professional personnel remain responsible for dispensing decisions, prescriptions, dosage, patient counselling and compliance with applicable law.
3. Eligibility
You must be legally capable of entering into these Terms.
If you create or use an account on behalf of a pharmacy, company or other organization, you represent that you are authorized to do so.
You are responsible for ensuring that your use of AushadiPro complies with all laws applicable to your business.
4. Account Registration
You must provide accurate information when creating an account.
This may include:
- Name;
- Mobile number;
- Email address;
- Pharmacy information;
- Business information;
- Drug licence information;
- GST information; and
- Other information required for verification.
You must keep account information accurate and current.
You are responsible for activities performed through your account unless caused by unauthorized access that was not reasonably attributable to you.
5. Account Security
You are responsible for protecting your account credentials.
You must not:
- Share passwords unnecessarily;
- Allow unauthorized persons to access your account;
- Use another person's credentials without authorization; or
- Ignore known security issues.
If you suspect unauthorized access, you should immediately change your credentials and contact AushadiPro.
6. Pharmacy Regulatory Responsibility
AushadiPro is a software tool and does not guarantee compliance with every law or regulation applicable to your pharmacy.
You remain responsible for:
- Maintaining valid licences;
- Maintaining required pharmacist registrations;
- Compliance with applicable drug laws;
- Prescription requirements;
- Medicine dispensing;
- Medicine storage;
- Batch management;
- Expiry management;
- MRP and pricing compliance;
- GST and tax compliance;
- Invoice accuracy;
- Customer communication;
- Record keeping; and
- Other regulatory obligations applicable to your business.
Use of AushadiPro does not replace professional, legal, tax or regulatory advice.
7. Accuracy of Information
You are responsible for the accuracy of information entered, uploaded or imported into AushadiPro.
This includes:
- Medicine information;
- MRP;
- Purchase price;
- Selling price;
- GST information;
- Batch numbers;
- Expiry dates;
- Stock quantities;
- Supplier information;
- Customer information;
- Pharmacy information;
- Invoice information; and
- Other business records.
Where AushadiPro provides medicine catalogue or reference information, you must independently verify such information before relying upon it for dispensing, pricing, regulatory or medical decisions.
8. User Content and Business Data
You retain your rights in the business information and other content that you lawfully upload or enter into AushadiPro.
You grant AushadiPro a limited, non-exclusive right to host, store, process, transmit, synchronize and otherwise use such information as reasonably necessary to provide, secure, maintain and improve the Services and comply with applicable law.
This permission does not transfer ownership of your pharmacy's business data to AushadiPro.
9. Customer Data
If you enter customer information into AushadiPro, you are responsible for ensuring that you have the necessary authority, notice, consent or other lawful basis required to collect and process that information.
You must not use AushadiPro to unlawfully collect, disclose or process personal information.
You are responsible for responding to customer requests relating to information that you control, except to the extent that AushadiPro is independently responsible under applicable law.
10. Staff Accounts and Permissions
Where staff accounts are available, the pharmacy administrator is responsible for:
- Creating appropriate accounts;
- Assigning appropriate roles;
- Maintaining permissions;
- Removing former employees;
- Protecting credentials; and
- Monitoring access where appropriate.
You must not give a staff member more access than reasonably necessary for their role.
11. Multi-Pharmacy Management
Where multi-pharmacy functionality is available, you are responsible for configuring pharmacies, staff, roles and permissions correctly.
You must ensure that users only receive access to information they are authorized to access.
AushadiPro is not responsible for unauthorized access caused by incorrect permissions configured by the account administrator.
12. Offline Billing
AushadiPro may support offline billing and other offline functionality.
Offline functionality depends on device storage, application capabilities, synchronization status and other technical factors.
Not every online feature is necessarily available offline.
When a device reconnects to the internet, pending information may be synchronized with AushadiPro's servers.
Users are responsible for ensuring that synchronization is completed before relying on server-side reports or information.
AushadiPro is not responsible for loss resulting from:
- Device failure;
- Device theft;
- Browser data deletion;
- Clearing application storage;
- Operating system failure;
- User interference with locally stored data;
- Insufficient device storage; or
- Failure to synchronize where the user had a reasonable opportunity to do so.
13. Backups
AushadiPro may maintain backups as part of its infrastructure and recovery processes.
Backups are intended for operational recovery and do not necessarily provide an individual user with an immediate historical version of every record.
Users should maintain their own appropriate business records and exports where necessary.
14. Subscription Plans
Certain features require a paid subscription.
Subscription pricing, billing periods, included features and limits may be displayed within AushadiPro or on the AushadiPro website.
Unless otherwise stated:
- Subscription fees are payable in advance;
- Applicable taxes may be charged;
- Access depends on successful payment;
- Different plans may provide different features; and
- Features and plans may change over time.
15. Payment and Renewal
Where automatic renewal is enabled, the subscription may renew at the end of its applicable billing period.
You are responsible for maintaining a valid payment method and monitoring your subscription.
If payment fails, AushadiPro may restrict or suspend paid functionality after reasonable notice where appropriate.
16. Free Trials and Promotions
AushadiPro may offer free trials, referral benefits, discounts or promotional plans.
Such offers may be subject to additional eligibility requirements and may be modified, limited or discontinued.
AushadiPro may cancel promotional benefits where we reasonably believe that they are being abused, duplicated or obtained fraudulently.
17. Refunds
Refunds are governed by the AushadiPro Refund and Cancellation Policy.
Unless otherwise required by applicable law or expressly stated by AushadiPro, subscription fees are generally non-refundable after the subscription has been activated.
18. Acceptable Use
You must use AushadiPro only for lawful purposes.
You must not:
1. Attempt unauthorized access to another account.
2. Circumvent security controls.
3. Reverse engineer the Services except where such restriction is prohibited by applicable law.
4. Copy or redistribute the software.
5. Resell access without authorization.
6. Upload malware or malicious code.
7. Attempt to disrupt or overload the Services.
8. Use automated systems to abuse the Services.
9. Upload information that you do not have the right to use.
10. Violate another person's privacy or legal rights.
11. Conduct fraudulent transactions.
12. Misrepresent your identity or pharmacy.
13. Use the Services for unlawful activity.
14. Attempt to obtain another user's data without authorization.
19. Intellectual Property
AushadiPro and its licensors retain all rights in:
- Software;
- Source code;
- User interface;
- Design;
- Logos;
- Trademarks;
- Documentation;
- Proprietary workflows;
- Databases and software architecture; and
- Other intellectual property forming part of the Services.
Your subscription gives you a limited right to use the Services during the applicable subscription period.
It does not transfer ownership of AushadiPro's intellectual property to you.
20. Third-Party Services
AushadiPro may integrate with third-party services, including payment gateways, WhatsApp, SMS providers, email providers, cloud infrastructure providers and other external services.
Third-party services may have separate terms and privacy policies.
AushadiPro is not responsible for the independent operation, availability, policies or security practices of third-party services.
A change, interruption or discontinuation by a third-party provider may affect corresponding AushadiPro functionality.
21. Service Availability
We aim to maintain reliable Services but do not guarantee uninterrupted or error-free operation.
Temporary interruptions may occur because of:
- Scheduled maintenance;
- Emergency maintenance;
- Software updates;
- Infrastructure failures;
- Internet connectivity;
- Security incidents;
- Third-party service failures;
- Force majeure events; or
- Circumstances beyond our reasonable control.
22. Changes to the Services
We may add, modify, improve, suspend or remove features from AushadiPro.
Where a material change significantly affects an active paid service, we may provide reasonable notice where appropriate.
23. Suspension and Termination
AushadiPro may suspend or terminate an account where reasonably necessary because of:
- Material violation of these Terms;
- Fraud;
- Illegal activity;
- Security risks;
- Unauthorized access;
- Abuse of the Services;
- Unpaid subscription fees;
- Regulatory or legal requirements; or
- Circumstances where continued provision of the Services is not reasonably possible.
Where appropriate, we may provide notice before suspension or termination.
Immediate action may be taken where necessary to protect security, users, systems or comply with law.
24. Consequences of Termination
Following termination, your right to use paid Services may end.
Subject to applicable law and our retention obligations, account information may subsequently be deleted or anonymized.
You are responsible for exporting or downloading business information you require before termination where export functionality is available.
25. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as available" basis.
AushadiPro does not guarantee that:
- The Services will always be available;
- The Services will be completely error-free;
- Medicine information supplied through the Services will always be accurate or complete;
- The Services will meet every individual business requirement;
- The Services will guarantee regulatory compliance; or
- Third-party integrations will always remain available.
Nothing in these Terms excludes a right or liability that cannot legally be excluded.
26. Limitation of Liability
To the maximum extent permitted by applicable law, AushadiPro shall not be liable for indirect, incidental, special, consequential or punitive losses, including loss of profits, revenue, business opportunities or goodwill.
AushadiPro shall not be responsible for losses resulting from:
- Incorrect information entered by users;
- Incorrect medicine or pricing information;
- Incorrect stock information;
- Unauthorized access resulting from compromised credentials;
- Device failure;
- Loss of locally stored offline information;
- Failure to synchronize offline information;
- User deletion of browser/application data;
- Internet connectivity problems;
- Third-party service failures;
- Regulatory decisions;
- Pharmacy dispensing decisions; or
- Medical decisions made by users.
To the maximum extent permitted by applicable law, AushadiPro's aggregate liability arising out of or relating to the Services shall not exceed the amount actually paid by the affected user to AushadiPro for the Services during the twelve months immediately preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded.
27. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless AushadiPro and its officers, employees and service providers against claims, losses, liabilities and reasonable expenses arising from:
- Your unlawful use of the Services;
- Your violation of these Terms;
- Your violation of another person's rights;
- Information you unlawfully upload or process;
- Your violation of applicable pharmacy, tax or regulatory requirements; or
- Your misuse of customer information.
28. Confidentiality
Each party will use reasonable measures to protect confidential information received from the other party.
Confidentiality obligations do not apply to information that:
- Is publicly available;
- Was already lawfully known;
- Is independently developed;
- Is lawfully obtained from another source; or
- Must be disclosed by law.
29. Governing Law and Jurisdiction
These Terms are governed by the laws of India.
Subject to applicable law, disputes arising from these Terms shall be subject to the jurisdiction of the competent courts having jurisdiction over the applicable location of AushadiPro's principal place of business.
30. Changes to these Terms
We may update these Terms from time to time.
The latest version will be published through AushadiPro.
The revised Terms will display the updated date.
Where legally required, we will provide additional notice of material changes.
